The acquisition of shares in Mexican companies is permitted; however, when the foreign investment intends to acquire more than 49% of shares of a Mexican company, this will require authorization from the National Foreign Investment Commission when the value of the assets of said company exceeds $20,184,671,346.26 pesos (see resolution). To formalize the acquisition of shares, you must perform the acquisition in accordance with the provisions of the company bylaws.
If the legal representative of the Mexican company wishes to submit procedures online, he must go to the Tax Administration Service (SAT) to secure the unique registration code (RFC) and associated e-signature.
In all event, you must apply for registration or submit the notice of quarterly update in the National Foreign Investment Registry (RNIE), which is responsible for gathering foreign investment statistics in Mexico.
